Terms & Conditions

Please read these terms carefully before using Payout. By using our Service, you agree to be bound by these terms.

1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Summer Slice LLC ("Company," "we," "us," or "our"), the owner and operator of Payout, accessible at payoutgroups.com. Summer Slice LLC operates online at https://summerslice.xyz.

By creating an account, accessing, or using the Payout web application and any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

2. Description of Service

Payout is a tracking and organizational tool designed to help users manage rotating savings and credit associations (ROSCAs), also known as tandas, BCs, kitty parties, susus, stokvels, and other savings circles. The Service allows users to:

  • Create and manage savings circle groups.
  • Invite members to join groups via shareable links or email.
  • Set contribution amounts, payment frequencies, and payout schedules.
  • Log and track payments made through external payment methods (cash, checks, Venmo, Cash App, Apple Pay, Zelle, etc.).
  • Send payment reminders and payout notifications.
  • Import retroactive data for existing groups.

3. Important Disclaimers About Financial Services

3.1 Not a Financial Institution

Payout is NOT a bank, money transmitter, payment processor, lending platform, or financial institution of any kind. We do not hold, process, transfer, or have access to any user funds. The Service is solely a record-keeping and communication tool.

3.2 No Financial Advice

Nothing in the Service constitutes financial, legal, or investment advice. We do not recommend, endorse, or guarantee any savings circle arrangement. Users are responsible for their own financial decisions.

3.3 User-to-User Transactions

All financial transactions between savings circle members occur directly between those members, outside of the Payout platform, using their chosen payment methods. Payout has no visibility into, control over, or responsibility for any actual money transfers. Payment records logged in the Service are self-reported by users and may not reflect actual transactions.

4. Eligibility

To use the Service, you must:

  • Be at least 18 years of age (or the age of majority in your jurisdiction).
  • Have the legal capacity to enter into a binding agreement.
  • Not be prohibited from using the Service under any applicable law.
  • Provide accurate, complete, and current registration information.

5. Account Registration & Security

5.1 Account Creation

You must create an account to use certain features of the Service. You agree to provide accurate and complete information during registration and keep your account information up to date.

5.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Not share your account credentials with any other person.
  • Notify us immediately of any unauthorized access to or use of your account.
  • Log out of your account at the end of each session on shared devices.

5.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, or inactivity.

6. User Conduct & Responsibilities

6.1 Acceptable Use

You agree to use the Service only for lawful purposes. You shall NOT:

  • Use the Service for money laundering, fraud, or any illegal financial activity.
  • Create fictitious accounts, groups, or payment records.
  • Harass, threaten, or abuse other users.
  • Attempt to gain unauthorized access to other users' accounts or data.
  • Interfere with or disrupt the Service or its infrastructure.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use automated scripts, bots, or scraping tools to access the Service.
  • Upload or transmit malicious code, viruses, or harmful content.
  • Impersonate any person or entity.
  • Use the Service to collect or harvest personal information of other users without consent.

6.2 Group Organizer Responsibilities

If you create a savings circle group as an organizer, you have additional responsibilities:

  • You are responsible for the accuracy of group settings (contribution amounts, schedules, member assignments).
  • You must ensure that all members understand and agree to the group's terms before participating.
  • You are responsible for managing disputes between group members.
  • Payout is not liable for any disputes, defaults, or losses arising from group activities.

6.3 Payment Record Accuracy

Users who log payment records represent that such records are accurate to the best of their knowledge. Falsifying payment records is a violation of these Terms and may result in account termination.

7. Intellectual Property

7.1 Our Property

The Service, including its design, code, graphics, logos, text, trademarks, and all other content created by Summer Slice LLC(collectively, "Our Content"), is the exclusive property of Summer Slice LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of Our Content without our prior written consent.

7.2 Your Content

You retain ownership of any content you submit to the Service (e.g., group names, profile information, payment notes). By submitting content, you grant Summer Slice LLC a non-exclusive, worldwide, royalty-free license to use, display, and process your content solely for the purpose of providing and improving the Service.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you agree that we may use such feedback without restriction or compensation to you.

8. Fees & Pricing

The core features of Payout are currently provided free of charge. We reserve the right to introduce paid features, premium tiers, or subscription plans in the future. If we do:

  • We will provide reasonable advance notice of any pricing changes.
  • Free features at the time of your registration will remain available in some form.
  • Paid features will be clearly identified before purchase.

9. Advertisements

The Service may display advertisements or sponsored content. We may use anonymized and aggregated data to serve relevant ads. We will never share your personally identifiable information with advertisers without your explicit consent.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY: We do not warrant that the Service will meet your specific requirements.
  • FITNESS FOR A PARTICULAR PURPOSE: We do not warrant that the Service is suitable for managing actual financial obligations.
  • NON-INFRINGEMENT: We do not warrant that the Service does not infringe on any third-party rights.
  • AVAILABILITY: We do not guarantee uninterrupted, secure, or error-free operation of the Service.
  • ACCURACY: We do not warrant the accuracy, completeness, or reliability of any payment records, user content, or information displayed through the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • Summer Slice LLC, its officers, directors, employees, agents, and affiliates shall NOT be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses.
  • Our total aggregate liability for all claims arising from or related to the Service shall not exceed one hundred US dollars ($100) or the amount you paid us in the 12 months preceding the claim, whichever is greater.
  • We are NOT liable for any financial losses, disputes, defaults, or damages arising from savings circle activities, including but not limited to: members failing to make contributions, members failing to receive payouts, disputes between members, or inaccurate payment records.

12. Indemnification

You agree to indemnify, defend, and hold harmless Summer Slice LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Your savings circle activities, including disputes with other members.
  • Any content you submit to the Service.
  • Your infringement of any third-party rights.

13. Dispute Resolution

13.1 Between Users

Payout is not a party to any agreement between savings circle members. Disputes between users (e.g., missed payments, payout disagreements) must be resolved directly between the involved parties. Payout has no obligation to mediate, arbitrate, or resolve user-to-user disputes.

13.2 Between You and Summer Slice LLC

Any dispute arising from or relating to these Terms or the Service shall be resolved as follows:

  • Informal Resolution: You agree to first attempt to resolve the dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute within 30 days.
  • Binding Arbitration: If the dispute cannot be resolved informally, it shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English.
  • Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in the State of Wyoming.

15. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

16. Changes to These Terms

We may revise these Terms from time to time. When we make material changes:

  • We will update the "Effective Date" at the top of this page.
  • We will notify you via email or in-app notification.
  • The updated Terms will be posted at payoutgroups.com/terms.

Your continued use of the Service after revised Terms are posted constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and delete your account.

17. Termination

You may stop using the Service and delete your account at any time. We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms.

Upon termination:

  • Your right to use the Service will immediately cease.
  • We may delete your account data in accordance with our Privacy Policy.
  • Provisions that by their nature should survive termination will survive, including Sections 7, 10, 11, 12, 13, and 14.

18. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Summer Slice LLC regarding the Service and supersede all prior and contemporaneous agreements, proposals, or representations, whether written or oral.

20. No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver must be in writing and signed by Summer Slice LLC.

21. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Summer Slice LLC may assign these Terms without restriction.

22. Force Majeure

Summer Slice LLC shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, power failures, internet failures, or third-party service outages.
